ADVERT PLACEMENT - TERMS AND CONDITIONS

1. I hereby confirm that all facts and details contained herein are true and correct.

2. I hereby confirm that I have signed this document out of my own free will and that I am well acquainted with the contents herein.

3. If this agreement is signed by me in a representative capacity, I guarantee that I am authorised to sign this agreement on behalf of my principle and that I am authorised to bind my principle.

4. All advertisements cost are payable and due within 45 days from the last day of the month of which the advertisement cost is invoiced.

5. By failure to comply with point 4 above, interest will be charged to equal to OVK lending rate plus 10.5% per annum on all outstanding amounts.  Any amendment to the interest rate due to change in the  prime interest rate will be within one month from the date of which such amendment to the prime interest is made and from the first day of the month following the change of the interest.  Clients will be notified within 30 days of any amendment of the interest via the monthly statements.

6. A certificate signed by any of the Company's directors, members of general management, secretary or manager client financing or client financing manager.  Stating the amount, including interest, interest rate, additional finance charges, additional finance charge rates as well as premiums due in terms of a debt insurance scheme owing by me to the company at any time, shall for purposes of legal proceedings instituted against me for the recovery of such amount, be prima facie proof of the facts contained therein without necessity of proving the appointment of the signatory of such certificate.

7. Unless the debtor, within three months from the issue of a statement of account object in writing per pre-pad registered post against any debit of credit or any other listing appearing in such statement of account, it shall be deemed for all purposes that the  contents of such statement of account is correct and shall such statement of account be conclusive proof in any legal action that the goods and services mentioned therein has been  supplied by the company to the debtor and that all the debits and credits and other listings appearing therein are correct.

8. In the event at the company instituting legal action against  me, regardless of such cause of action arising out of this agreement  or any other cause whatsoever,  I hereby consent to the jurisdiction of any Magistrate's  Court in accordance with Section 45 of the Magistrates Court Act no 32 of 1944, having jurisdiction over my person by virtue of Section 28 of the Act, notwithstanding the fact that the amount claimed or the value of the protected right exceed the jurisdiction of the Magistrates Court.  The company is in its sole discretion entitled to proceed with the legal action in any other court or to have any dispute between the companies and   be adjusted by way of arbitration.
